By paying for our internet marketing services you agree to uphold this document and the Marketing Contract. These terms shall be subject to the terms of the InSync Media Marketing Contract, which may be read in full online: https://terms.insync.media/marketing-contract.

  • Photography
  • Advertising
  • Branding
  • Review management/generation
  • Social media
  • Pay-per-click
  • Programmatic
  • On-page optimization
  • Other internet marketing services provided now and in the future

1. SERVICES.

InSync Media provides a variety of internet marketing services at a variety of price points, hereafter referred to as a “Program.” Your Program may not include all of the services mentioned in this document. Your Program shall be defined on your Order/Purchase Agreement/Quotation.

2. INTERNET MARKETING/SEO DISCLAIMERS.

The Client acknowledges the following with respect to internet marketing/search engine optimization (SEO) services from InSync Media:

  1. InSync Media has no control over the policies and ranking algorithms of search engines with respect to the type of sites and/or content that they accept now or in the future. Your web site may be excluded from any search engine or directory at any time at the sole discretion of the search engine or directory.
  2. Due to the competitiveness of some keywords/phrases, ongoing changes in search engine ranking algorithms, and other competitive factors, InSync Media does not guarantee number one positions or consistent top 10 positions for any particular keyword, phrase, or search term.
  3. Google has been known to hinder the rankings of new websites (or pages) until they have proven their viability to exist for more than “x” amount of time or have enough backlink strength. InSync Media assumes no liability for ranking, traffic, indexing issues related to such penalties. Consequently, you understand that ranking new websites is much more difficult than ranking old and established sites and he should not have unrealistic expectations about rankings, traffic, and revenues.
  4. New website may get a temporary boost in ranking for some targeted keywords for a few days but then it settles down to its real place. This is known as “new site boost effect” and it is quite common to happen. Consequently, the Client understands that his new site has not really got top rankings within a month and soon it will go down to its actual position.
  5. Occasionally, search engines will drop rankings for no apparent reason. Often, the rankings will reappear without any additional SEO efforts.
  6. A website search engine ranking can fluctuate any day, any time because of ongoing changes in the ranking algorithm, SEO efforts made by the competitors, or both.

3. INTERNET MARKETING/SEO DEFINITIONS.

To bring clarity to our internet marketing/SEO services, we are going to define some SEO terms/jargon which we have used in the contract. Our goal is to develop a contract in plain English which is mutually understood by all the parties entering into the contract and which minimizes erroneous beliefs. We make no warranty/guarantee of accuracy and completeness of the SEO terms described below.

For the purposes of this agreement the following terms are agreed upon:

  1. Deliverable—It is a term used in project management to describe a tangible or intangible object produced as a result of the project that is intended to be delivered to a customer (either internal or external). A deliverable could be a report, a document, a server upgrade, or other building blocks of an overall project. Note: Backlinks provided as a Deliverable are owned by the site on which the backlink lives.
  2. SEO—Search engine optimization (SEO) is the process of improving the volume or quality of traffic to a website from search engines via “natural” or un-paid (“organic” or “algorithmic”) search results as opposed to search engine marketing (SEM) which deals with paid inclusion.
  3. Search Engines—A computer program that is used to retrieve documents from a computer network. Three popular search engines are Google, Yahoo, and Bing.
  4. Competitor—It is an individual or a company that is in the same exact niche as the client and is targeting the same/identical keywords in the same/nearby geographic location(s).
  5. Keyword —Keyword or keyword phrase is a search term(s) that is used to retrieve information through search engines.
  6. Keyword Research—It is a practice used by search engine optimization professionals to find and research actual search terms people enter into the search engines when conducting a search.
  7. Keyword Stuffing—It is considered to be an unethical search engine optimization (SEO) technique. Keyword stuffing occurs when a web page is loaded with keywords in the meta tags or in content.
  8. URL—It is the address of the web page on the Internet.
  9. URL Canonicalization—The process of picking the best URL when there are several choices, and it usually refers to home pages.
  10. Link Building—A Search Engine Optimization technique that is used to get backlinks for a website.
  11. Website Usability—It means how easy it is for visitors to use your website.
  12. Website Accessibility—It means how accessible your web pages are to your visitors and search engines.
  13. User Engagement—It refers to the degree to which a visitor has been positively influenced by the website and is engaged to it.
  14. Conversions—Also known as goals. They can be orders, leads, downloads, page views, sign-ups, traffic, etc.
  15. Conversion Rate—It is the percentage of visits that result in goal conversions.
  16. KPI—KPI or Key Performance Indicator is used to measure how well an organization or individual is accomplishing its goals and objectives.
  17. Link popularity—It is the measure of the quantity and quality of inbound links (backlinks) to your website.

4. INTERNET MARKETING/SEO DELIVERABLES.

InSync Media is shall provide the following deliverables, based on the specifics on your Order (not every Program we offer includes all of these Deliverables):

    1. Keyword Research Report: Provides a list of keywords that can bring the highest volume of relevant traffic to the website along with their search volume. It also provides suggestions regarding how keywords should be used on-site to attract additional traffic
    2. Website Audit Report: Analyzes your website for opportunities for on-page and technical optimization.
    3. Competitive Analysis Report: Provides vital information regarding competitors like who are your competitors, which keywords they are targeting, what are they doing to attract traffic and links. From where they have got their backlinks. We also determine the current ranking potential of your competitors in search engines and help in establishing KPIs.
    4. Website Optimization: We try to fix all the issues we have identified during a website audit so that the website works for the client’s business and is able to convert relevant traffic into sales or leads.
    5. On-page optimization: We modify the title tags, meta tags, contents, HTML code, naming conventions, and other on-page factors of the client’s website to make it relevant to search engines (Google, Yahoo, and Bing) for targeted keywords. We do keywords positioning/placement to attract additional traffic to the site.
    6. Link Building: We acquire/request/buy links from a vast array of websites to improve the ranking potential of your website in search engines and to rank for targeted keyword phrases. Acquire and maintain local citation and review website
    7. Link Bait/Viral Content Development: We develop and promote content (press releases, articles, blogs, link baits, etc) which help in getting additional traffic and links to your site and also helps in improving the conversion rate.
    8. SEO Analysis: We continuously monitor the effectiveness of our SEO campaign and send you traffic and rankings reports on a monthly basis.
    9. LocalSync: Update your directory listings/citation on 70+ platforms. Enhance existing listings with custom content and standardize/maintaining branding across all listings.
    10. Google My Business optimization: An important first step in any local SEO strategy is to claim and verify your local business’ Google My Business (GMB) listing. Getting on Google My Business can increase your chances of showing up in Google’s Local Pack, Local Finder, Google Maps, and organic rankings in general. Qualifying local businesses can claim this free listing on Google and include information about their company, like their address, phone number, business hours, and types of payments accepted.
    11. Press Releases: A press release is a valuable Search Engine Optimization (SEO) tool. It helps us to get your website to rank for new keywords that you are not already ranking for in Google searches. It also increases your website’s Domain Authority, which is an important part of showing up in more search results. A press release will also help give your website more traffic. When we send traffic to your site, it tells the Google algorithm that your website is popular and deserves to show up in more search results.
    12. Blog Posts: Blogging helps boost SEO quality by positioning your website as a relevant answer to your customers’ questions. Blog posts that specifically use a variety of on-page SEO tactics can give you more opportunities to rank in search engines and get customers to visit your site.
    13. Guest Posts: Guest Posting is a method using which you write an article for a website and get a link to your website/blog in return. You may also link to your social media profiles.
    14. Social Signals: Social signals are human interaction metrics on social platforms like Facebook, Twitter, LinkedIn, Reddit, Medium, etc. Some examples of social signals are likes, dislikes, shares, votes, pins, views, etc. which commonly help to showcase popularity and affinity for a specific piece of content.
    15. Videography or Photography: InSync Media may recommend a Videographer or Photographer to create these assets for a Client’s online marketing. The Videographer or Photographer owns all rights, title, and interest in and to the media(s) which are the subject of this Agreement, including all copyrights. Videographer or Photographer grants Client a non-exclusive, non-transferable license to use media(s) for the Client’s marketing and online content.

5. WEBSITE DEVELOPMENT

The Scope of Service for our Website Development programs include:

  • Research: We attempt to thoroughly understand your business, your business goals, your customers, and their expectations and behavior, and how your website factors into all of it. We’ll also look at the competitive landscape to establish context and benchmarks for how your site should function and then improve on that.
  • Content, Site Map, and User Experience: Based on the research from the previous step, the InSync team will develop a site map, an outline of the content for each page, and the navigation structure to provide a delightful User Experience
  • Design & Development: The InSync team will mockup between 2 and 3 design styles for your home page. You may choose one, and make tweaks to it. The design of the home page informs the design style of the entire website.
  • On-page SEO: We implement industry best practices for on-page SEO, including metadata on each page, keywords, alt tags, mobile optimization, speed optimization, and Google Analytics.
  • Review: Once the website is built, you have your opportunity to carefully review it. Apart from major design style changes, you may submit up to 3 different rounds of revisions and edits.

Our website projects shall be subject to our established project processes and require Client sign-offs at each stage of the process. There may be additional fees for changes outside the scope of service, or if the Client wishes to make changes to a portion of the website they have already signed off on.

You agree to provide InSync Media feedback at each stage of the website development process in a timely manner, as requested by InSync Media. Website projects shall be considered inactive if you fail to provide feedback to InSync Media and the website is not able to be finished in a six (6) month timeframe.

InSync Media may, at their discretion, charge a reactivation fee to start your website again after it has become inactive.

PRIVACY POLICY: A Privacy Policy is a required page per Google Webmaster Standards, and required by most third-party advertisers. InSync Media may provide an optional online Privacy Policy for your website. Alternately, the Client may create their own online privacy policy through a third party service or their legal counsel. Either way, the Client is responsible for reviewing the Privacy Policy provided by InSync Media or another third-party service with their legal counsel. InSync Media is not a lawyer or a law firm and does not engage in the practice of law or provide legal advice or legal representation. All information, software, services, and comments provided on the site are for informational and self-help purposes only and are not intended to be a substitute for professional legal advice.

6. GOOGLE ADS / PAY-PER-CLICK PROGRAMS.

The Scope of Service for Google Ads Programs Include Ongoing:

  • Customized strategy for your specific needs, iterated and perfected over time.
  • Ad and Bid optimization
  • Keyword management
  • Search Term Optimization
  • Competitor Watch
  • Management of click budget
  • Ad copywriting
  • Mobile, Desktop and Tablet Configuration
  • Call Out, Sitelink and Call Extensions
  • Display Banner Ads and Remarketing Ads: Design & Copy
  • Monthly Reporting

7. Programmatic

The Scope of Service for Programmatic Ads Programs Include Ongoing:

  • Overall Strategy
  • Providing Universal Pixel
  • Display Banner Design
  • Messaging / Copywriting
  • Ad and Bid Optimization
  • Ad placements
  • Management of ad budget
  • Remarketing
  • Recommendations for website conversion optimization
  • Monthly Reporting

8. PROHIBITED CHANGES.

InSync Media makes no guarantee/warranty of project timeline or added expenses (like charging additional fees etc.) if the online marketing work is destroyed either wholly or in parts, either knowingly or unknowingly by any party other than InSync Media or without the prior consultation of InSync Media.

Online Marketing Work is considered to be work directly linked to SEO, Advertising, Marketing, and other efforts that take place outside the basic construct of the business website(s). Online Marketing Work is considered to be destroyed either wholly or partially if the following changes are made by any party other than InSync Media and without first consulting InSync Media. These changes include, but are not limited to:

  • Changes in the file(s) or folder(s) name
  • Putting a file in a different folder or putting a folder in another folder or subdomain
  • Making changes in the head section of a document, changing the text in the title tag, removing certain HTML tags required for site authentication.
  • Deleting a link, folder, file, web document, or subdomain.
  • Modifying text on a web document like changing the formatting of the text or repositioning the text.
  • Removing analytics code from the web page which is used to track website traffic.
  • Linking out to any website without prior consultation of the InSync Media.
  • Adding a file, folder, web document, widget, or any functionality.
  • Renaming URLs of existing web documents.
  • Taking down the website or part of the website.
  • Renaming, re-locating, adding or removing any file, folder or subdomain on a web server including web documents, robots.txt, .htacess file, sitemap.xml, rss.xml, etc.
  • Changes in the site architecture
  • Changes in the anchor text
  • Making any changes on an optimized web page
  • Making changes to a pay-per-click campaign without prior approval by InSync Media.

InSync Media is not responsible for the Client overwriting online marketing work already done by the Company. The Client will be charged an additional fee for re-constructing, re-optimizing content, fixes to ad campaigns, fixing or rebuilding web pages, or any other issue caused knowing or unknowingly by the Client based on an hourly rate.

9. UPDATES.

This Terms of Service may be modified at any time at the Company’s discretion. The most current Terms governing your internet marketing program may be found on our website: https://terms.insync.media/internet-marketing.

In the event of any material change, we will provide you with a written notice via electronic communication and a notification on this site. Your continued use of the Services following such updates constitutes your acceptance of the same. If you do not agree to the terms of any modification, you may terminate the Agreement in accordance with the Termination section.
